Super Duper Publications Affiliate Program - Terms and Conditions

Affiliate agrees to the following Terms of Service regarding the Super Duper Affiliate Program.

  1.  INDEPENDENT CONTRACTOR/WORK FOR HIRE RELATIONSHIP.
    1. This is an independent contractor/work for hire relationship, in which Affiliate agrees to carry out the responsibilities listed in these Terms and Conditions, as may be amended from time to time as set forth in Section Four (4) below.
    2. Affiliate is under no obligation to perform any services for Super Duper Publications (SD) whatsoever, and control over the time and place that Affiliate conducts its services is under the Affiliate’s sole control.
  2. REFERRALS AND COMMISSIONS
    1. Affiliate agrees to refer customers to Super Duper Publications (SD) for the purpose of ordering and paying for SD Products.
    2. SD Products are the proprietary materials offered for sale by SD. They do not include any materials resold by SD for third parties, and/or any Tests/Assessments or Test Forms.
    3. Each Affiliate Order (AO) must contain the unique code or link that SD has given to Affiliate, so SD can track the Affilate orders and pay Affiliate compensation as set out in Section (3) below.
    4. SD will pay Affiliate a ten (10%) percent commission on each Affiliate Order that has been paid in full, as set forth in Section (3) below.
    5. Each Affiliate referral customer using the unique code will receive the following discounts.
      1. Ten (10%) percent off of regular prices for SD print materials.
      2. This discount may be amended and changed by SD at any time whatsoever in its sole discretion.
    6. Promotion codes do not stack with other promotional codes. Only one promotion code can be applied per order.
    7. SD makes no representations and/or  warranties to Affiliate regarding potential income that may result from participation in this Affiliate Program.
  3. PAYMENT
    1. SD will process each AO, and handle customer inquiries, customer billing and collections, and all other matters related to all AOs.
    2. Commissions will be based on the total order price, including applied discounts, of each AO, and do not include shipping and handling charges, sales taxes, special service fees such as gift wrapping or packaging, late charges, collection costs, imports/export duties, or other charges that are not part of the purchase price.
    3. Commissions will not be calculated on amounts involving credit card fraud, credits given to customers, bad debt right-offs, and returned goods.
    4. SD will pay commissions by the fifteenth (15th) of each month, based upon the total of the previous month’s Affiliate Orders that have been paid in full.
    5. Affiliate is responsible for any and all of its own individual or corporate tax liabilities of any kind whatsoever arising from payments by SD to Affiliate, including but not limited to all federal, state, unemployment, and FTWA taxes
    6. Payments will be made in US Dollars by direct deposit into the bank account provided by the Affiliate to SD, unless otherwise agreed to by the Parties in writing.
    7. SD can deduct in subsequent months for any commission SD has paid to Affiliate for a product that is later returned or refunded, or for any other reason, if a previous commission was overpaid or later subject to reduction.
  4. ADDITIONAL AGREEMENTS
    1. SD can change and/or amend the SD Product prices and discounts; terminate special offers; discontinue SD Products; alter the terms under which SD products are offered; and otherwise change and/or amend any of these terms and conditions at any time, in its sole discretion.
    2. Any changes and/or amendments made by SD pursuant to 4(a) above will become effective immediately upon the date and time it is posted online.
    3. Affiliate agrees it will not offer to its referral customers any discounts in addition to those offered by SD, and it will not post Affiliate’s unique code on any discount websites.
    4. Either Party may terminate this Affiliate relationship at any time for any reason by giving the other Party written notice of termination. Notice to Affiliate will be sent to the email address provided by Affiliate to SD; Affiliates will provide notice to SD by submitting the form Request Affiliate Termination below.
